Deal Tax Advisory Director | Big 4 | Sydney

An excellent opportunity has arisen for an experienced Deal Tax Advisory Director to join the market-leading Deal Advisory Tax practice of a leading Big 4 professional services firm in Sydney.

This is a senior opportunity to work on some of the largest and most significant transactions in the Australian market, advising private equity, infrastructure, property, financial services, major corporates and other leading investors on the tax implications of complex M&A transactions.

The role combines sophisticated transaction tax advisory with tax due diligence, acquisition and disposal structuring, transaction documentation, post-deal integration and ATO/FIRB engagement, together with senior client relationship management, business development and team leadership.

The Role

Working closely with Deal Tax Partners and specialists across the broader Deal Advisory practice, your responsibilities will include:

  • Advising private equity, corporate and institutional clients on the tax implications of significant mergers, acquisitions and disposals
  • Leading tax due diligence engagements across complex Australian and cross-border transactions
  • Identifying and assessing material taxation risks and opportunities associated with proposed transactions
  • Advising clients on acquisition, disposal and investment structures
  • Developing commercially focused tax structuring solutions for complex transactions
  • Advising on the Australian tax implications of transaction funding and ownership structures
  • Reviewing sale and purchase agreements and other transaction documentation from a taxation perspective
  • Advising on tax warranties, indemnities and other taxation provisions contained within transaction documents
  • Assisting clients with post-deal integration and restructuring matters
  • Managing transaction-related correspondence and engagement with the ATO
  • Assisting with taxation matters associated with FIRB processes and transaction approvals
  • Managing multiple transaction engagements across different sectors and stages of the deal lifecycle
  • Providing clear and commercially focused advice within demanding transaction timetables
  • Developing and maintaining senior relationships with private equity, corporate, legal, investment banking and other transaction stakeholders
  • Working collaboratively with Corporate Finance, Transaction Services, Corporate Tax, International Tax and other specialists across the firm
  • Drawing on the firm’s Australian and international network to advise on complex cross-border transactions
  • Identifying and developing new client and transaction opportunities
  • Leading, coaching and mentoring Managers, Senior Consultants and other professionals within the Deal Tax team

About You

The position would suit an experienced Deal Tax / Transaction Tax Director, or a strong Senior Manager ready to progress to Director, from a Big 4, leading professional services firm or specialist tax practice.

Corporate Tax professionals with strong M&A and transactional experience may also be considered.

Ideally, you will have:

  • Substantial experience in Australian taxation with significant exposure to M&A and transactional matters
  • Strong experience in tax due diligence
  • Experience advising on acquisitions, disposals, restructures and transaction structuring
  • Strong Australian corporate tax technical knowledge
  • Experience identifying and assessing taxation risks arising from transactions
  • Experience advising on appropriate acquisition and disposal structures
  • Exposure to transaction documentation and the taxation aspects of sale and purchase agreements
  • Experience with post-acquisition integration and restructuring matters
  • Exposure to ATO engagement associated with significant transactions
  • Experience advising private equity, corporate and/or institutional clients
  • Strong commercial judgement and an understanding of the broader commercial drivers behind transactions
  • The ability to translate complex taxation issues into practical and commercially focused advice
  • Experience managing multiple complex engagements within transaction-driven deadlines
  • Strong senior client relationship and stakeholder management skills
  • Demonstrated business development capability and the ability to identify new opportunities
  • Strong leadership experience, including supervising, coaching and mentoring professional teams
  • Excellent written and verbal communication skills

A relevant degree in Accounting, Finance, Law, Commerce or a related discipline is expected. Professional qualifications in tax, accounting and/or law would be highly regarded.
