An excellent opportunity has arisen for an experienced Transaction Services Manager to join the highly regarded Private Deals practice of a leading Big 4 professional services firm in Sydney.
This is an excellent opportunity to work on a broad range of mid-market M&A transactions, advising Private Equity, Corporate, Financial Services and other clients on acquisitions, divestments, capital raisings and other significant transactions.
The role combines sophisticated buy-side and sell-side financial due diligence, financial analysis, transaction support and commercial advisory, working closely with experienced Deals Partners and Directors throughout the transaction lifecycle.
The Role
Working closely with Partners, Directors and other Deals specialists, your responsibilities will include:
- Leading and managing buy-side and sell-side financial due diligence engagements
- Advising Private Equity, Corporate, Financial Services and other clients on acquisitions and divestments
- Analysing historical and forecast financial performance to identify key commercial issues
- Identifying key value drivers, transaction risks and potential deal breakers
- Analysing quality of earnings, working capital, cash flows and other key financial metrics
- Reviewing financial models, forecasts and underlying transaction assumptions
- Undertaking detailed financial and commercial analysis to support investment and transaction decisions
- Managing the collection, analysis and interpretation of large volumes of financial and operational data
- Preparing clear and commercially focused financial due diligence reports
- Supporting clients considering acquisitions, divestments and expansion capital projects
- Assisting with pre-lend reviews for financiers
- Contributing to financial due diligence and accounting work associated with IPOs and capital market transactions
- Working with clients and their advisers throughout the transaction process
- Managing engagements, project timelines, workflow and client deliverables
- Developing relationships with Private Equity professionals, corporate executives, CFOs, financiers and other transaction stakeholders
- Working collaboratively with specialists across Corporate Finance, Deal Tax, Valuations and other advisory disciplines
- Coaching, reviewing and developing Senior Consultants and other professionals within the Deals team
About You
The position would suit an experienced Transaction Services Manager, or a strong Senior Consultant ready to progress to Manager, from a Big 4, mid-tier or other leading professional services firm.
Candidates with strong financial analysis and transaction experience gained within a corporate, investment or other relevant environment may also be considered.
Ideally, you will have:
- Strong experience in Transaction Services, Financial Due Diligence and/or a transaction-focused corporate environment
- Experience undertaking buy-side and sell-side financial due diligence
- Experience supporting acquisitions, divestments, capital raisings and other transactions
- Strong financial analysis and accounting capability
- Experience analysing quality of earnings, working capital, cash flow and other key transaction metrics
- Strong financial modelling and data analysis skills
- The ability to identify key value drivers, financial risks and potential deal issues
- Experience interpreting complex financial and operational information
- Strong commercial judgement and an understanding of the broader commercial drivers behind transactions
- The ability to translate detailed financial analysis into practical insights for clients
- Experience managing multiple workstreams and demanding transaction deadlines
- Strong organisational and project management capability
- Strong client relationship and stakeholder management skills
- The ability to communicate effectively with senior corporate and transaction stakeholders
- Experience reviewing and developing junior professionals
- Excellent written and verbal communication skills
A relevant tertiary qualification in Accounting, Commerce, Business, Finance or a related discipline would be expected. Professional qualifications or further studies such as CA, CFA, Master of Finance, FINSIA or equivalent would be highly regarded.
