An excellent opportunity has arisen for an experienced Corporate Tax Senior Manager with a Private Equity focus to join the highly regarded Corporate Tax practice of a leading Big 4 professional services firm in Sydney or Melbourne.
This is a senior opportunity to advise domestic and international private equity funds, investment managers and portfolio companies on complex Australian corporate tax matters across the investment lifecycle, including acquisitions, structuring, financing, portfolio matters, restructures and exits.
The role combines sophisticated corporate tax advisory with significant exposure to private equity transactions and investment structures, working closely with Corporate Tax, Deal Advisory Tax and other specialists across an extensive Australian and global network.
The Role
Working closely with Corporate Tax Partners and specialists across the broader Tax and Deal Advisory practices, your responsibilities will include:
- Advising domestic and international private equity funds on complex Australian corporate tax matters
- Providing ongoing corporate tax advice to private equity funds, investment managers and portfolio companies
- Advising on the tax implications of acquisitions, disposals, restructures and other significant transactions
- Assisting clients with the structuring of private equity investments and transactions
- Advising on acquisition, holding, financing and exit structures
- Providing practical and commercially focused M&A tax advice
- Assisting with the establishment and structuring of private equity funds and investment vehicles
- Undertaking and managing tax due diligence and other transaction support
- Identifying and assessing material tax risks and opportunities associated with proposed investments
- Advising portfolio companies on complex Australian corporate tax issues following acquisition
- Providing advice on corporate restructures, financing and other significant commercial matters
- Managing engagement with the ATO on complex corporate tax and transaction-related matters
- Working with financiers, legal advisers, insurers and other stakeholders involved in private equity transactions
- Leading complex Corporate Tax engagements from initial scoping and technical analysis through to advice and client delivery
- Developing trusted relationships with private equity executives, investment professionals, CFOs, tax executives and other senior stakeholders
- Identifying opportunities to provide broader tax and advisory services to private equity clients and their portfolio companies
- Collaborating with Deal Advisory Tax, International Tax, Transfer Pricing, Transaction Services and other specialists across the firm
- Working with colleagues across the firm’s international network on cross-border private equity investments
- Coaching, mentoring and developing Managers, Senior Consultants and other professionals within the team
About You
The position would suit an experienced Corporate Tax Senior Manager, or a strong Manager ready to progress to Senior Manager, with exposure to private equity, M&A and/or transaction-related corporate tax matters.
Ideally, you will have:
- Significant experience advising on Australian corporate tax matters
- Strong technical knowledge of Australian corporate taxation
- Experience working with private equity funds, investment managers and/or portfolio companies
- Exposure to M&A, transactions and investment structuring
- Experience advising on acquisitions, disposals and corporate restructures
- An understanding of private equity investment and ownership structures
- Experience with tax due diligence and transaction support
- Exposure to acquisition and financing structures
- Experience advising on complex corporate tax matters throughout the investment lifecycle
- Strong commercial judgement and an understanding of the commercial drivers behind private equity transactions
- The ability to identify complex taxation issues and develop practical, commercially focused solutions
- Experience leading significant client engagements and managing multiple workstreams
- Strong senior client relationship and stakeholder management skills
- The ability to work effectively with investment professionals, CFOs, legal advisers, financiers and other transaction stakeholders
- Business development capability and an ability to identify opportunities across private equity funds and their portfolio companies
- Leadership experience, including coaching and developing junior tax professionals
- Excellent written and verbal communication skills
Candidates may come from a Big 4, leading professional services firm, tax legal practice or suitably relevant in-house tax environment.
A relevant degree in Law, Commerce, Accounting, Finance or a related discipline would be expected. Professional qualifications in tax, law and/or accounting such as CA, CPA or CTA would be highly regarded.
